Introduction and Acceptance

Please read these Terms of Service ("Terms") carefully before using the SalesDots.ai platform. These Terms form a binding agreement between you (the Customer) and SalesDots ("SalesDots," "we," or "us"), the provider of the SalesDots.ai software-as-a-service CRM platform (the "Service"). By using or accessing the Service, you agree to these Terms. If you do not agree, you must not use the Service.

Business Use Only: The Service is a B2B platform offered exclusively for business or professional use, not for personal or household use. By registering or using the Service, you represent that you are using the Service in a business capacity and not as a consumer.

1. Definitions

Customer Data – all data, information, content, and materials that you or your Authorized Users submit to or store in the Service.
Authorized User – any individual whom you allow to use the Service under your account.
Subscription Plan – the specific package of features, usage limits, and Service capacity that you have ordered.

2. Use of the Service

2.1 Provision of Service

We grant you a non-exclusive, non-transferable right to access and use the Service during your subscription term, solely for your internal business purposes and in accordance with these Terms.

2.2 Customer Responsibilities

You are responsible for all Customer Data and must use the Service in compliance with all applicable laws. Prohibited activities include using the Service for unlawful purposes, transmitting harmful content, or interfering with Service security.

3. Fees and Payment

By subscribing to a paid plan, you agree to pay subscription fees as specified. Fees are typically charged in advance on a recurring basis (monthly or annually). All payments are non-cancellable and non-refundable, except as expressly provided.

4. Term and Termination

These Terms are effective from your first use and remain in effect while you have an active subscription. You may terminate your account at any time. We may terminate or suspend your account for cause, including material breach of Terms or non-payment.

5. Customer Data and Privacy

You retain all rights to your Customer Data. You grant us a license to host and process it as necessary to provide the Service. We implement appropriate safeguards including encryption, access controls, and security assessments.

6. Proprietary Rights

SalesDots retains all rights in the Service, including all software, algorithms, and intellectual property. No rights are granted except as expressly stated in these Terms. You may not copy, modify, reverse engineer, or use the Service to build competing products.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." We make no warranties of any kind, whether express, implied, or statutory. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

8. Limitation of Liability

Neither party will be liable for indirect, incidental, special, or consequential damages.

Aggregate Liability Cap: Each party's total liability shall not exceed the fees paid in the 12 months preceding the claim. For free plans, our liability is capped at $100 USD.

9. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. Disputes will be resolved by binding arbitration administered by the American Arbitration Association.
